SHOPIFY WEBSITE PROJECT TERMS
PREPARED BY BASE CODE BRAND MARKETING
Please note this is a general project terms for your reference. You will be provided with a personalised terms to sign pre-project.
1. PAYMENT TERMS
- A 30% deposit is required to commence the project.
- The final 70% payment is due once the client has full ownership of the project and Base Code is added as a collaborator to complete final project details.
- No website will be transferred or launched until full payment is received.
- All invoices are due within 14 days of issue unless otherwise agreed.
2. TIMELINE & COMMUNICATION
- Estimated project duration is 4-8 weeks, depending on client responsiveness.
- Feedback and delivery of assets are crucial. Delays in client communication or asset submission may affect the timeline.
- If no response is received from the client within 14 business days of a request, the project may be paused and rescheduled based on availability.
3. POST-LAUNCH SUPPORT
- The client is entitled to 2 weeks of post-launch support covering minor fixes or adjustments.
- What constitutes a 'minor fix' is at the discretion of Base Code.
- Larger requests or new features will be quoted separately.
4. CLIENT RESPONSIBILITY & ASSET USAGE
- All materials (logos, text, images, branding, domain access, etc.) provided by the client must be licensed and owned or approved for use.
- Base Code is not responsible for copyright infringements, incorrect brand files or expired domains provided by the client.
- The client must ensure all content is accurate and legal to use.
5. THIRD-PARTY PLATFORMS & INTEGRATIONS
- Base Code Brand uses third-party platforms and apps including Shopify, Klaviyo, Google Ads, Recharge, Easy Appointment Booking and others.
- We are not liable for issues, errors, or service outages originating from Shopify or any third-party apps.
6. REVISIONS & SCOPE OF WORK
- This project includes up to 4 formal rounds of revisions during the design phase.
- Additional revisions or requests beyond the agreed scope will be quoted separately or charged at an hourly rate.
- If the project scope changes significantly, a revised estimate will be provided before undertaking further work.
7. OWNERSHIP & INTELLECTUAL PROPERTY
- Upon full payment, the client owns all final designs, content, and assets created by Base Code Brand specifically for this project.
- Third-party software, apps, or plugins remain the property of their respective owners.
8. PRIVACY & CONFIDENTIALITY
- All client information shared with Base Code will be kept confidential and secure.
- We will not share, distribute, or reuse your content or details without written consent.
9. MARKETING & PORTFOLIO USE
- Base Code reserves the right to showcase completed projects, including screenshots and links, in our portfolio, on social media and for marketing purposes.
- If you would prefer to opt out, please notify us in writing before launch.
10. OPTIONAL WEBSITE MONTHLY RETAINER & DISCOUNT
- Clients who sign up for a monthly partnership at the time of their build deposit will receive 10% off the total project cost.
- Monthly Partnerships start at $190/month and typically cover quick-fix calls, messages, and emails (with a 48-hour response time), support for website glitches, plugin, theme, and security updates, as well as small content and design tweaks - custom retainers can also be arranged to suit your specific needs, such as ongoing content updates, product management, SEO, Google Ads or Shopify maintenance.
11. PAUSING & PROJECT ABANDONMENT
- If the client becomes unresponsive for more than 30 consecutive days, the project may be paused.
- A reactivation fee may be applied if the project needs to be rescheduled due to

- All deposits are non-refundable once work has commenced.
- Refunds after commencement are at the sole discretion of Base Code Brand Marketing.
13. LOGIN SHARING & SECURITY
- Please provide access credentials securely via password managers (e.g., LastPass).
- Base Code Digital is not responsible for issues caused by client-side credential errors or unauthorized access due to insecure sharing.
14. HANDOVER & TRAINING
- Upon final payment, we provide a 30-60 minute handover session to walk you through your Shopify backend.
- A handover document will also be supplied for your reference.
